Terms of Service

The agreement between you and HelpDeskio when you use our website or product.

These Terms of Service ("Terms") govern your access to and use of the HelpDeskio website, software and related services (together, the "Service"). By using the Service you agree to these Terms — if you do not agree, please do not use the Service.

1. Your account

You are responsible for keeping your account credentials safe and for everything that happens under your account. Let us know straight away if you suspect any unauthorised access.

2. Acceptable use

You agree not to use the Service to:

  • Send unsolicited bulk messages, spam, harassment or otherwise abusive content.
  • Upload or transmit malware, viruses or any code intended to disrupt the Service or other users.
  • Attempt to access another customer's data or reverse-engineer the Service except as permitted by law.
  • Use the Service in violation of any applicable law, regulation or third-party right.

3. Subscription, billing & cancellation

Paid plans are billed in advance on a monthly or annual cycle. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and we do not provide pro-rated refunds. All fees are exclusive of taxes.

4. Your data

You own all content you submit to the Service ("Customer Data"). You grant us a worldwide, royalty-free licence to process Customer Data solely to provide and improve the Service on your behalf. We act as a data processor under applicable data-protection law — see our Privacy Policy for details.

5. Service availability

We work hard to keep the Service available 24/7 and target 99.9% monthly uptime. Scheduled maintenance is announced in advance via our status page. We are not liable for downtime caused by events outside our reasonable control (force majeure).

6. Intellectual property

The Service, including all software, design and trademarks, is owned by HelpDeskio or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service for the term of your subscription.

7. Confidentiality

Each party agrees to protect the other's confidential information with the same care it would use for its own confidential information of similar importance, and at minimum reasonable care.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

9. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or related to these Terms will not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, special, consequential or punitive damages.

10. Termination

Either party may terminate these Terms for material breach if the breach is not cured within 30 days of written notice. Upon termination you may export your Customer Data for 30 days, after which we will delete it.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced at least 30 days in advance by email to account owners and posted at the top of this page.

12. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in San Francisco County, California.
